Terms and conditions

1) Definitions

"App" means the File Studio software and included tools (e.g., PDF merge/split/rearrange/unlock, image conversion, metadata clean).

"License" means your right to install and use the App under these Terms.

"You" means the purchaser or authorized user.

2) License Grant

Subject to payment and compliance with these Terms, we grant you a non-exclusive, non-transferable License to install and use the App:

• On the number of devices permitted by your plan (single user unless stated otherwise).
• For lawful personal or business purposes.
• With updates for 12 months from purchase (if your plan includes "updates for 1 year"). After that, you may continue using the last version you received; future updates may require a new purchase.

3) Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to access source code except where permitted by law.
• Rent, lease, sublicense, sell, or share license keys with others.
• Circumvent License or copy-protection mechanisms.
• Use the App to infringe rights, violate law, or distribute malware.
• Use "Unlock" to bypass DRM or protections without the correct password or legal right. You are solely responsible for your content and compliance.

4) Ownership

The App is licensed, not sold. We and our licensors retain all rights, title, and interest in and to the App (including updates, documentation, and branding).

5) User Content & Local Processing

Your files remain yours and remain on your device unless you choose otherwise.

You are responsible for the legality of your files and what you do with them.

6) Updates; Changes to Features

We may provide updates, bug fixes, or improvements. We may modify or discontinue features to maintain security, performance, or legal compliance. Where feasible, we'll provide notice of material changes.

7) Third-Party Components

The App may include open-source or third-party components governed by their own licenses. Those licenses apply in addition to this EULA.

8) Payment, Taxes, and Refunds

Payments are processed by third parties (e.g., Stripe, Polar). Their terms and privacy policies apply.

Prices may change for new purchases.

Unless required by law or expressly stated on our site, all sales are final. If we offer a free trial, please evaluate the App before purchasing.

9) Support

We provide best-effort support via hi@ayushsoni.com during normal business hours, excluding holidays.

10) Termination

We may suspend or terminate your License for material breach. You may terminate by uninstalling the App. Upon termination, your License ends and you must stop using the App.

11) Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL;
• DAMAGES EXCEEDING THE AMOUNT YOU PAID FOR THE LICENSE DURING THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations; your rights may vary.

13) Indemnification

You will defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses arising from your content or your breach of these Terms.

14) Export & Sanctions

You represent that you are not located in an embargoed country or on a restricted party list. You will comply with applicable export, re-export, and sanctions laws.

15) Entire Agreement; Severability; Assignment

These Terms, together with referenced policies, are the entire agreement between you and us. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent.
